Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of IPK Logistics ("the app"), a SaaS app provided by IPK Logistics ("we", "our") that integrates with WooCommerce through a connector plugin. By connecting your store and using the app, you agree to these Terms.

Description of Service

IPK Logistics is a warehouse management service for WooCommerce merchants. It provides:

• Bin location management for product variations using custom product meta
• Supplier management, purchase orders, stock receiving, and put-away workflows
• Structured picking rounds for unfulfilled orders
• Barcode scanner support for picking and fulfillment workflows
• Order fulfillment with item verification
• Container (cart and box) tracking

Account and Access

• The integration plugin requires a WooCommerce store running on WordPress 6.0+ with WooCommerce 7.0+.
• Access is authenticated through WordPress's authentication system and the store connection used by the app.
• You are responsible for the actions performed through the app by any user with access to your WordPress admin.

Subscription Plans and Billing

We offer three subscription plans, all billed monthly:

• Free trial: All plans include a 15-day free trial, available once per store.
• All features included: Every plan includes access to all app features. Plans differ only in the number of orders included in the base price.
• Usage charges: Orders processed above your plan limit are charged at $0.01 per order.
• Billing cycle: Charges are processed monthly. Usage counters reset at the start of each billing period.
• Plan changes: You may upgrade or downgrade your plan at any time from within the app.
• Cancellation: You must cancel your subscription explicitly within the app to stop billing. Disconnecting the store or uninstalling the integration plugin does not cancel your subscription.

Data, Purchase Orders, and Custom Fields

• Bin location data is stored as custom product meta directly on your product variations.
• These custom fields belong to your WooCommerce store and are not deleted when you uninstall the integration plugin.
• Supplier and purchase order data entered in the app, including supplier contact details, reference numbers, expected dates, payment terms, shipping carrier, tracking number, shipping cost, and purchase order items, is used to manage supplier orders, receiving, and inventory workflows.
• You may edit or delete these fields at any time through the app.
• Bulk imports via CSV overwrite existing bin location values for matched variations.

Limitation of Liability

• The app and integration plugin are provided "as is" without warranties of any kind, express or implied.
• We are not liable for any indirect, incidental, or consequential damages arising from the use of the app or integration plugin.
• We are not responsible for errors in purchase orders, receiving, picking, fulfillment, or inventory resulting from incorrect data entry, CSV imports, supplier information, shipping details, or barcode mismatches.
• Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.

Changes to These Terms

We may update these Terms from time to time. Changes will be communicated through the app or via the email associated with your account. Continued use of the app after changes constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Portugal. Any disputes arising from these Terms shall be resolved in the courts of Portugal.
